Information from the shareholder

The Management Board of the Company informs that on August 8, 2006, Stalexport S.A. received from the company Autostrade S.p.A. the following notification on acquisition of shares:

Pursuant to article 69 of the Act of July 29, 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Company, I would hereby like to inform you that Autostrade S.p.A. , a company established and operating under Italian law, with its registered office in Rome, Italy at via Alberto Bergamini 50, entered into the Register of Companies in Rome under no. 1023691 ("Autostrade") has learned on

August 2, 2006, that as a result registration on 27 July 2006 of an increase in the share capital of Stalexport S.A. ( the "Company") by PLN 68,318,756 by the District Court in Katowice, the Economic Department of the National Court Register, Autostrade became a holder of 34,159,378 Series F bearer shares in the Company. Autostrade acquired the Company`s share for the issue price of PLN 2 per share.
As a result of the acquisition of the shares in the Company, Autostrade?s shares in the share capital amounts to 21,65%. Autostrade holds 34,159,378 votes at the Company`s general shareholders meeting representing 21,65% of the total number of votes at the Company`s general shareholders meeting.

I would like to inform you that before the increase in the Company`s share capital was registered on July 27, 2006, Autostrade did not hold any shares in the Company.

I would further like to inform you of Autostrade`s intent to increase its share in the total number of votes at the general shareholders meeting of the Company within the next 12 months in order to obtain at least 50% plus one vote at the general shareholders meeting of the Company.

Through the equity investment in the Company, Autostrade enters the Polish toll-road market with a long strategic investor role, in order to contribute with its operational and technological know-how to the development of tolled motorway networks in Poland and in Central and Eastern Europe.
