Information on final settlement

Report no 10 

Referring to the Report no 4/2008 in which we informed that on 18.01.2008 the shares of the company Stalexport Autostrady S.A. belong to Autostrade per l`Italia S.p.A (because of contributing 139,059,182 shares by the company Atlantia S.p.A., to its subsidiary company, Autostrade per l`Italia S.p.A. with seat in Rome). The Management Board of Stalexport Autostrady S.A., informs that on 06.03.2008 the company received a notification that on 05.03.2008 the a/m transaction was settled from the account of the dominant entity Atlantia to the account of Autostrade per l?Italia S.p.A. (further Autostrade) by virtue of making contribution to increase the capital of Autostrade and the entry of shares on the account of Autostrade was made.

As a result of the above Autostrade at present holds 139,059,182 shares and the same number of votes at the General Meeting of the company Stalexport Autostrady S.A. The shares held by the company Autostrade constitute in total 56,24 % in the capital of the Company Stalexport Autostrady S.A. and the same share in % in the total number of votes at GSM of the company Stalexport Autostrady S.A.
As a result of share transferring Atlantia is not already directly the shareholder of the company Stalexport Autostrady S.A. Atlantia does not intend to dispose of the shares in Autostrade, and it does not intend to undertake any actions which could result in disposing by Autostrade of shares held by it and could result in diminishing the share of Autostrade, and indirectly of Atlantia- as the dominant entity of Autostrade, in the capital of Stalexport Autostrady S.A.
