Report No. 1 - Concluding the Annex No. 6 to the Concession Agreement

The Management Board of Stalexport Autostrady S.A. informs the public that on 3 January 2012 the Ministry of Transport, Construction and Maritime Economy and Stalexport Autostrada Małopolska S.A. with seat in Mysłowice (hereinafter referred to as the Concessionaire) concluded the Annex no 6 to the Concession Agreement dated 19 September 1997 for construction by adapting the A4 motorway section; Katowice (Murckowska junction, km 340.2) - Kraków (Balice junction, km 401.1) of 60.9 km long, to the requirements of toll motorway and operating this motorway section (as amended by the Annex No. 1, Annex No. 2, Annex No. 3, Annex No. 4 and Annex No. 5), hereinafter called the Agreement.

The purpose of the conclusion of the Annex No. 6 is to modify the scope of the subject of the Agreement and to limit the scope of responsibilities of the Concessionaire in relation to the section covering the "Murckowska" junction and determining that the responsibility for operation and maintenance, repairs, and the safety of users of Section (as defined below) shall be borne by the General Directorate for National Roads and Motorway (hereinafter GDDKiA).

Section is a strip of road strip of toll motorway including Murckowska junction, (covering the junction with roads and slip roads) from km 340+200 to km 341+640, reconstructed by GDDKiA in the period September 2007 - November 2009. The Concessionaire shall pay to GDDKiA the amount of 23 441 387.15 PLN gross, a prepayment covering the full amount of gross remuneration for the services provided by GDDKiA for the Concessionaire due to the delegation of the tasks to GDDKiA referred to in Article 10A of the Agreement. The Parties agree and acknowledge that this amount is equivalent to the costs which the Concessionaire would bear during the term of the Agreement, in connection with the operation and maintenance of Murckowska junction in its original form.
