Report no 12 - Registration of share capital increase of a subsidiary company of the Issuer

The Management Board of Stalexport Autostrady S.A. informs the public that on 26 September 2011 it received an information that the District Court Katowice-East in Katowice, VIII Division of the National Register Court in its decision dated 22 September 2011 registered the share capital increase of Stalexport Autostrada Małopolska S.A. (hereinafter referred to as „SAM”).

The share capital of SAM was increased by PLN 37,200,000.00 (say: thirty seven million two hundred thousand) from PLN 29,553,000.00 (say: twenty nine million five hundred and fifty three thousand) to PLN 66,753,000.00 (say: sixty six million seven hundred and fifty three thousand), through issue of 37,200 (say: thirty seven thousand two hundred) of new ordinary registered shares of D series with a nominal value of PLN 1,000 (say: one thousand ) each. All new shares of D series were acquired by Stalexport Autostrady S.A. in Katowice in exchange for a cash contribution.

The issue price of shares was set at a level equal to their nominal value, i.e. PLN 1,000 for each share.

After registering the above increase Stalexport Autostrady S.A. holds 37,200 shares of Stalexport Autostrada Malopolska S.A., representing 55.73% in the share capital of SAM and 55.56% of votes at the General Meeting of the SAM. The remaining 29,553 shares of Stalexport Autostrada Malopolska S.A. is held by Autoroute S.A.R.L. (a 100% subsidiary of Stalexport Autostrady S.A.), representing respectively 44.27% in the share capital and 44.44% of votes at the General Meeting of the SAM.
