Report no 18 - BOŚ S.A. decreases its share in votes at general meeting

The Management Board of Stalexport Autostrady S.A. (hereinafter referred to as: „the Company”) informs the public that on 12 December 2011 it received from Bank Ochrony Środowiska S.A. (hereinafter referred to as: „BOŚ S.A.”) with seat in Warsaw, a notice of decreasing below 5% of share in total number of votes at the general meeting of Stalexport Autostrady S.A.

In its notice BOŚ S.A. reported that:

1. It sold a total of 555,217 shares of Stalexport Autostrady S.A. at a regulated market of Warsaw Stock Exchange S.A. („WSE"] in the period from 24 November 2011 to 07 December 2011. The aforementioned shares represent 0.22% votes in te total number of votes in Stalexport Autostrady S.A.
2. Prior to the change in the total number of votes BOS S.A. held 12,810,333 shares of Stalexport Autostrady S.A., representing 5.18% of the share capital of the Company, and constituting 12,810,333 votes, which represented 5.18% of the total number of votes in Stalexport Autostrady S.A.
3. When the National Depository for Securities S.A. settles the transactions carried out in the period from 24 November 2011 to 07 December 2011 referred to in point 1, BOS S.A. will hold 12,255,116 shares of Stalexport Autostrady S.A., which represent 4.96% of the share capital of the Company and consitute 12,255,116 votes, which represent 4.96% of the total number of votes in Stalexport Autostrady S.A.
4. Neither BOS S.A. subsidiaries, nor any other party related to BOS S.A. does not hold any shares of the Company, and as a result of transaction referred to in point 1 above, these companies have not increased or decreased its share in the share capital of Stalexport Sautostrady S.A. or number of votes at a general meeting of Stalexport Autostrady S.A.
5. Neither BOS S.A. nor its subsidiaries have not concluded the agreements with third parties, which would concern the transfer of the voting rights of the remaining shares of Stalexport Autostrady S.A.
