Report no 23 - CVs of new appointed members of Supervisory Board

Referring to the current report no 20 dated 24.07.2009 after the EGSM of the Company, the Management Board of Stalexport Autostrady S.A., fulfilling the information duties, publishes the CVs of the new appointed members of the Supervisory Board: Mr. Roberto Mengucci and Massimo Lapucci.

Roberto Mengucci a graduate fromLa Sapienza University in Rome, Mechanical Engineering (1987). He has a fluent command of English, French and Spanish.

Since July 2008 he is the Director of International Business Development of Autostrade per l?Italia S.p.A. in Rome, responsible for Autostrade Group presence on the international market.

In years 2004-2008 he was the Vice-President Mergers and Acquisitions of Finmeccanica in Italy. He was responsible for acquisitions, mergers, sale strategic alliances of the  Finmeccanica Group. 

Previously he held senior positions within the Corporate Finance Areas of the Telecom Italia Group in Italy:

  • 1999-2004 he worked as the Country Manager in the management of the Group?s international ortofolio,
  • 1996-1999 he worked as M&A and Business Development Project Manager responsible for a number of acquisitions, primarily in Latin America and the Mediterranean Basin. 

In years 1989-1996 he was the Project Manager in the International Depertament of Enel S.p.A.

Roberto Mengucci does not conduct any competitive activity towards the Company. Does not participate in any competitive enterprise as partner of any company nor is member of managing or supervisory body of any other competitive legal person. Entry in the Register of Insolvent Debtors recoded in compliance with the KRS act does not concern him as he is an Italian citizen and he is not a resident in Poland).

Massimo Lapucci - a graduate from ?La Sapienza? University in Rome (1990-1995); Muenster University Berlin (1995); London Business School (2004); Yale World Fellow and Lecturer at Yale University, in the USA; Professor at LUISS University in Rome. He is also certified accountant. He has a fluent command of English, French and German; Spanish (working knowledge).

From 2009 he is the Investment Director in holding company Sintonia S.A. in Luxembourg. He is responsible for the investments in the sector of transport infrastructure around the world, with a specific focus on toll roads, bridges, tunnels, airports, railways stations.   

In years 2002-2008 he worked in Ferrovie dello Stato S.p.A. in Rome, as International Development Merger & Acquisitions and Strategic Planning Director. He was responsible for strategic planning and control, and the elaboration of the business plan at Group level. 

In years 2001-2002 he worked in the Company Ipse 2000 S.p.A. - Telefonica Moviles (Madrid, Rome), as Business Planning Manager responsible for strategic and business planning in large international start-up projects (UMTS - 3G mobile telco).

Previously in years 1997-2001 he worked as corporate finance, strategy and change management consultant in Ernst & Young LLP (Rome, Milan, London), in years 1996-1997 in Andersen Mba S.p.A. (Rome, Milan). 

Mr Lapucci is currently a member of the Boards of Directors of several companies at international level, including,  inter alia: Schemaventotto S.p.A., Autostrade per l`Italia S.p.A., Autostrade per il Cile  S.p.A, and Nororiente SA. In the past he also served in the Boards of Director of various companies, including TX Logistik AG in Germany, Logistica SA in France, ICF SA in Belgium, Rete Ferroviana Italiana S.p.A. and Ferrovie Real Estate in Italy.

Massimo Lapucci does not conduct any competitive activity towards the Company.
