Report no 25 - BOŚ S.A. - new shareholder

The Management Board of Stalexport Autostrady S.A. informs that on 14.12.2009 it received from Bank Ochrony Środowiska SA with its registered seat in Warsaw an information about change of holding of Stalexport Autostrady S.A. shares. The total number of shares and votes held by Bank Ochrony Środowiska S.A. (BOŚ S.A.) was changed under the ?Private subscription agreement? concluded on December 9th, 2009 between BOŚ S.A. and the National Fund for Environmental Protection and Water Management (NFOŚiGW). As a result of ?the Agreement? the percentage share of the Bank in the total number of votes in Stalexport Autostrady S.A. increased.

The agreement concerned subscription by the National Fund for Environmental Protection and Water Management of a new issue of O series shares of BOŚ S.A. in return for making a contribution by NFOŚiGW, covering among others 12,255,116 ordinary bearer shares of E series of Stalexport Autostrady S.A. on December 10th, 2009. The aforementioned shares were deposited by NFOŚiGW on the investment account of BOŚ S.A. 

Before concluding the Agreement, BOŚ S.A. held 555,217 shares of Stalexport Autostrady S.A. representing 0,224% of the Company?s share capital and 555,217 votes representing 0,224% of total number of votes. At present BOŚ S.A. holds 12,810,333 shares of Stalexport Autostrady S.A. which constitute 5,181 % of the Company?s share capital and 5,181% of total number of votes.
